1. Acceptance of Terms

By accessing, browsing, or using DownloadIcons.com (the "Site"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms") and to comply with all applicable laws and regulations, including export and re-export control laws and regulations.

If you do not agree to these Terms, you must not use or access the Site. These Terms constitute a binding legal agreement between you and DownloadIcons. We reserve the right to modify these Terms at any time without prior notice. Your continued use of the Site following any such changes constitutes your agreement to follow and be bound by the Terms as changed.

2. Service Description

DownloadIcons is an online platform that aggregates, indexes, and provides search functionality for open-source icon libraries. Our goal is to provide developers and designers with a high-speed, centralized directory for finding high-quality vector and raster icons. The Site provides information about various icon sets, including license types, style characteristics, and direct links to download or copy icon source code.

3. License Grants and Asset Usage

It is critical to understand that DownloadIcons does not own the icons indexed on the Site. The icons are the property of their respective creators and are provided to the public under various open-source licenses.

A. Third-Party Icon Licenses

Each icon library carries its own license. Common licenses found on our Site include:

  • MIT License: Generally allows for free use in personal and commercial projects with minimal restrictions.
  • Apache License 2.0: Similar to MIT, providing a broad license to users.
  • Creative Commons (CC0): Dedicated to the public domain; no attribution required.
  • Creative Commons Attribution (CC-BY): Free to use, but requires you to give appropriate credit to the creator.

Your Responsibility: You are solely responsible for reviewing and complying with the specific license terms of any icon you download or use. DownloadIcons provides license summaries as a convenience, but these summaries do not replace the full license text provided by the icon creators.

B. Site Content License

Unless otherwise noted, the design of the Site, including the layout, typography, original text content, and "DownloadIcons" branding, is the intellectual property of DownloadIcons and is protected by copyright laws. You are granted a limited, non-exclusive license to access and use the Site for its intended purpose of finding icons.

4. Acceptable Use

You agree to use the Site only for purposes that are permitted by these Terms and any applicable law, regulation, or generally accepted practices or guidelines in the relevant jurisdictions. You may use the Site for your individual design projects, commercial software development, or educational purposes.

5. Prohibited Uses

In using the Site, you shall not:

  • Automated Access: Use any automated system, including but not limited to "robots," "spiders," or "offline readers," to access the Site in a manner that sends more request messages to our servers than a human can reasonably produce in the same period of time.
  • Commercial Redistribution of the Directory: You may not "scrape" our directory to create a competing search engine or repository without our express written consent.
  • Infrastructure Interference: Attempt to interfere with, compromise the system integrity or security, or decipher any transmissions to or from the servers running the Site.
  • Bypassing Limits: Circumvent any measures we may use to prevent or restrict access to the Site, including without limitation features that prevent or restrict use or copying of any content.

6. Intellectual Property Rights

The names, logos, and icons of third-party libraries displayed on the Site are the trademarks and property of their respective owners. DownloadIcons makes no claim of ownership over these assets. Our use of these trademarks is intended solely to identify the libraries and provide a directory service (Fair Use).

7. Disclaimer of Warranties

THE SITE AND ALL CONTENT, MATERIALS, AND PRODUCTS ACCESSIBLE THROUGH THE SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. DOWNLOADICONS EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT: (A) THE SITE WILL MEET YOUR REQUIREMENTS; (B) THE SITE WILL BE AVAILABLE ON AN UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE BASIS; OR (C) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SITE WILL BE ACCURATE OR RELIABLE.

8. Limitation of Liability

IN NO EVENT SHALL DOWNLOADICONS, ITS AFFILIATES, AGENTS, DIRECTORS, OR EMPLOYEES BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SITE.

Monetary Cap: UNDER NO CIRCUMSTANCES WILL DOWNLOADICONS BE RESPONSIBLE FOR ANY DAMAGE, LOSS, OR INJURY RESULTING FROM HACKING, TAMPERING, OR OTHER UNAUTHORIZED ACCESS OR USE OF THE SITE OR YOUR ACCOUNT OR THE INFORMATION CONTAINED THEREIN. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL LIABILITY TO YOU FOR ANY DAMAGES SHALL NOT EXCEED THE TOTAL AMOUNT OF $100.00 USD.

9. Indemnification

You agree to defend, indemnify, and hold harmless DownloadIcons and its subsidiaries, agents, licensors, managers, and other affiliated companies, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from your use of and access to the Site, including any data or content transmitted or received by you.

10. EU Consumer Protection

If you are a consumer residing in the European Union or the United Kingdom, you may have additional rights under the consumer protection laws of your country. Nothing in these Terms is intended to limit or exclude such mandatory rights. For users in the EU, the liability limitations in Section 8 shall apply only to the extent permitted by the laws of your jurisdiction.

11. Force Majeure

DownloadIcons shall not be held responsible for any delay or failure in performance of any part of these Terms to the extent such delay or failure is caused by fire, flood, explosion, war, embargo, government requirement, civil or military authority, act of God, or other similar causes beyond our control.

12. Severability and Non-Waiver

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced. Our failure to act with respect to a breach by you or others does not waive our right to act with respect to subsequent or similar breaches.

13. Governing Law and Jurisdiction

These Terms shall be governed by the laws of the State of California, without respect to its conflict of laws principles. You agree to submit to the personal jurisdiction of the federal and state courts located in San Francisco, California, for any actions for which we retain the right to seek injunctive or other equitable relief in a court of competent jurisdiction.
